Terms of Service

These Terms govern the B2B subscription service provided by Finnect, LLC under the brand Piplead. They cover access, data, consent, payment, intellectual property, and liability between Finnect and the Customer.

Piplead is sold to businesses only. By using the Service, the Customer confirms it operates a licensed or registered business and accepts these Terms in that capacity.

1. The agreement

These Terms of Service (the "Terms") govern your access to and use of the Piplead platform, websites, APIs, webhooks, and related services (together, the "Service"), which are owned and operated by Finnect, LLC, a Texas limited liability company with registered office at 701 Tillery Street #2589, Austin, TX 78702, United States ("Finnect", "Piplead", "we", "us"). Piplead is the trading name of the Service.

By creating an account, signing an order form, or otherwise accessing the Service, you (the "Customer") accept these Terms on behalf of the legal entity you represent. The individual accepting confirms they have authority to bind that entity.

The Service is offered only to businesses. It is not intended for, and is not offered to, consumers acting outside their trade, business, or profession.

2. The Service

Piplead delivers consent-based, pseudonymous trader signal sourced from the Piplead Trade Automation Platform. Records are delivered to the Customer via the Piplead workspace, webhook, and supported native integrations.

The Service is provided on a software-as-a-service basis. We may improve, modify, or replace features at our discretion provided we do not materially diminish the Service during a paid term.

3. Accounts & access

The Customer is responsible for the security of its credentials and for all activity in its workspace. The Customer must notify Piplead immediately at security@piplead.com of any suspected unauthorised access.

Piplead may suspend access to investigate suspected breach, abuse, non-payment, or violation of these Terms. We will restore access promptly once the issue is resolved.

4. Data, consent, and lawful basis

Records delivered through the Service originate from traders who have consented at signup to share pseudonymous trading metadata with vetted broker, prop firm, and IB partners. Consent metadata is retained per record and is available on request.

The Customer is solely responsible for maintaining a lawful basis to contact each record under its applicable law (consent, legitimate interest under GDPR / UK GDPR, B2B exemption where applicable, or equivalent local rules).

The Customer must respect every opt-out propagated by Piplead within 24 hours of receipt, and must apply suppressions across every channel on which it stores or processes the record.

The Data Processing Addendum forms part of these Terms and applies whenever Piplead processes personal data on behalf of the Customer.

5. Acceptable use

The Acceptable Use Policy is binding and forms part of these Terms. The Customer must not resell, sublicense, or republish raw lead data; must not send unsolicited bulk messaging; must not combine Piplead data with consumer datasets purchased from list brokers; and must not attempt to re-identify pseudonymous traders by joining external data.

6. Fees & payment

The Service is billed on a pay-per-delivered-lead basis at the rates set out in the Customer's order form. Invoices are denominated in the currency of the order form and are payable net 14 days unless otherwise agreed. Late amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

Refunds and credits are governed by the Refund Policy.

7. Intellectual property

Piplead retains all right, title, and interest in the Service, the underlying platform, scoring models, and all associated intellectual property. The Customer is granted a non-exclusive, non-transferable, revocable licence to use the Service for its own internal business purposes for the duration of the subscription.

The Customer retains ownership of its own customer relationship data generated downstream of records delivered through the Service.

8. Confidentiality

Each party will protect the other's confidential information with at least the same care it uses for its own confidential information, and in any event with reasonable care. Confidential information may be used only for the purposes of these Terms.

9. Warranties & disclaimers

Piplead warrants that the Service will be provided with reasonable skill and care and substantially in accordance with the documentation. Records delivered are sourced under consent at the time of collection; Piplead does not warrant any specific outcome (conversion rate, deal size, or revenue).

To the maximum extent permitted by law, all other warranties are disclaimed.

10. Liability

To the maximum extent permitted by law, neither party is liable for indirect, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, business, or anticipated savings.

Each party's aggregate liability under these Terms in any 12-month period is capped at the fees paid by the Customer to Piplead in that period. Nothing in these Terms limits liability that cannot be limited by law (e.g., gross negligence, wilful misconduct, or breach of confidentiality).

11. Term & termination

These Terms continue for the duration of the Customer's subscription. Either party may terminate for material breach not cured within 30 days of written notice.

Piplead may terminate immediately for breach of the Acceptable Use Policy or non-payment beyond 30 days. On termination, the Customer must stop using the Service, delete all records received, and confirm deletion in writing on request.

12. Governing law & disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas for any dispute arising out of these Terms, except either party may seek injunctive relief in any court of competent jurisdiction.

13. General

These Terms, together with the order form, the DPA, the AUP, and the Refund Policy, are the entire agreement between the parties and supersede all prior understandings on the subject. If any provision is unenforceable, the remainder remains in force. Notices to Piplead must be sent to legal@piplead.com.
